Terms of Service

This document is a professional drafting base prepared for Dolirah. It has not yet been reviewed by legal counsel and does not constitute legal advice. Review by a lawyer qualified in Quebec and Canada is required before any commercial production launch.
Dolirah is a Software as a Service (SaaS) platform for service businesses: beauty salons, spas, barbershops, clinics, restaurants, retail stores, fitness studios and independent professionals.
These terms govern access to and use of the Dolirah platform. By creating an account or using the service, you agree to be bound by them. If you accept these terms on behalf of a business, you represent that you have the authority to bind it.
1. Nature of the service
Dolirah provides hosted access to service-business management software. The platform is provided on a subscription basis: no copy of the software is sold, assigned or delivered to you.
Depending on the plan you subscribe to, the service may include management of appointments, clients, staff, services, products, inventory, orders, point of sale, invoicing, reports, the customer's website, and artificial-intelligence-assisted features.
2. Account and eligibility
Opening an account requires accurate and current information. You are responsible for keeping your credentials confidential and for all activity carried out through your account.
The service is intended for professional use by adults acting on behalf of a business. You must notify Dolirah without delay of any unauthorised use of your account.
3. Free trial
Dolirah may offer a free trial period. No credit card is required to start the trial.
When the trial ends, access to paid features stops until a subscription is taken out. Data entered during the trial is retained in accordance with the "Data retention and deletion" section.
4. Subscription, billing and renewal
Subscriptions are offered according to the plans and prices published on the Pricing page. Prices are shown in the stated currency and are exclusive of applicable taxes, which are added at billing time.
Unless stated otherwise, the subscription is billed in advance for each period and renews automatically for an equivalent period until cancelled.
- Payments are processed by a third-party payment provider; Dolirah does not store full card numbers.
- Failure to pay may lead to suspension of access after notice.
- Plan changes take effect according to the terms shown at the time of the change.
5. Cancellation, termination and refunds
You may cancel automatic renewal at any time from your subscription area. Cancellation takes effect at the end of the period already paid for: access remains open until that date.
Except where mandatory law provides otherwise, or where Dolirah expressly agrees in writing, amounts already invoiced for a period that has started are not refunded on a pro-rata basis.
Dolirah may terminate or suspend an account in the event of a serious breach of these terms, unlawful use, persistent non-payment, or a demonstrated risk to the security of the platform or its users.
6. Suspension
Dolirah may temporarily suspend all or part of access in order to protect the integrity, security or availability of the service, in particular in the event of a security incident, abusive use of resources, or a legal obligation.
So far as reasonably practicable, notice is given before a non-urgent suspension.
7. Acceptable use
You agree to use the platform in accordance with applicable law and with these terms.
- Do not attempt to access another platform customer's data, or to bypass isolation, authentication or authorisation mechanisms.
- Do not transmit unlawful, defamatory, hateful or fraudulent content, or content that infringes the rights of others.
- Do not use the service to send unsolicited communications in breach of applicable anti-spam law, including Canada's Anti-Spam Legislation (CASL).
- Do not reverse-engineer, carry out automated bulk extraction, or run penetration tests without prior written authorisation.
- Do not resell, sublicense or make the service available to third parties outside the scope of your plan.
8. Intellectual property
The platform, its code, its interface, its trademarks, its documentation and its future versions remain the exclusive property of Dolirah and its licensors. No intellectual property right is transferred to you beyond the non-exclusive, non-transferable right of use granted for the duration of the subscription.
9. Customer content and data
You remain the owner of the content and data that you and your users enter into the platform, including data about your own clients.
You grant Dolirah a limited licence, strictly necessary to operate, host, back up, support and improve the service provided to you.
You are responsible for the lawfulness of the data you enter, in particular for having obtained the necessary consents from your own clients.
10. Service availability
Dolirah uses reasonable efforts to keep the platform available, without guaranteeing uninterrupted or error-free operation.
Interruptions may occur for planned maintenance, emergency fixes, third-party provider failure, or force majeure. No quantified service level agreement (SLA) is offered at this time; any such commitment, if granted, will be set out in a separate document.
11. Artificial intelligence features
Some features rely on artificial intelligence models, including models operated by third-party providers. Content produced by these features consists of automatically generated suggestions.
This content may contain inaccuracies. It must be reviewed by a human before any publication, any sending to a client, or any business decision. Dolirah does not warrant the accuracy, completeness or fitness for a particular purpose of generated content.
Actions with real-world effect, in particular creating orders, sending campaigns or modifying appointments, remain subject to human approval where the platform provides for it.
12. Third-party services
The platform interfaces with services supplied by third parties, in particular for payment, email delivery and artificial intelligence features. Those services are governed by their own terms and policies.
Dolirah is not responsible for interruptions, changes or decisions of those third parties, but undertakes to document the categories of providers used in its privacy policy.
13. Limitation of liability
To the extent permitted by applicable law, Dolirah is not liable for indirect damages, including loss of profits, clientele, revenue, reputation or data.
Subject to mandatory law, Dolirah's total aggregate liability, on all grounds combined, is limited to the amounts actually paid by the customer for the subscription during the twelve (12) months preceding the triggering event.
Nothing in these terms seeks to exclude liability that cannot be excluded under applicable law, in particular in the case of gross negligence or wilful misconduct.
14. Changes to the service and to these terms
Dolirah may change the platform's features. A substantial change that significantly reduces an essential feature of the plan you subscribed to will be notified in advance.
These terms may be amended. The applicable version is the one published on this page; the last updated date appears at the top of the document. Continued use after notice constitutes acceptance.
15. Support
Support is provided electronically through the Contact page. Response times and available channels may vary depending on the plan you subscribe to.
16. Governing law
These terms are governed by the law applicable in the Province of Quebec and by applicable Canadian federal law. Any dispute falls within the jurisdiction of the competent courts of Quebec, subject to mandatory consumer-protection rules where they apply.
